Terms of Service
Draft — effective October 8, 2026
These terms are the agreement between you and the operator of Shopait for using the Shopait website, accounts, admin, App Store, Theme Store, developer tools and the stores you build (together, the Service). By creating an account or using the Service you accept them. If you use the Service for a business, you accept them for that business and confirm you may do so.
This is a draft. It describes how Shopait works today, written in plain words and not yet reviewed by a lawyer. It will be reviewed — and updated with notice — before Shopait charges its first customer. If anything here is unclear or seems wrong, write to support@shopait.com.
Who operates Shopait
Shopait is operated by Do Xuan Truong, an individual, Vietnam. A company will take over this role once it is registered; we will update this page when it does.
Write to us about anything on this page: support@shopait.com.
1. Who you are dealing with
Shopait is operated by Do Xuan Truong, an individual, Vietnam. A company will take over this role once it is registered; we will update this page when it does.
When a company is registered it will take over these terms and your account; we will tell you before it happens. Contact: support@shopait.com.
2. Early access
Shopait is in early access. The Service is offered to a limited group for testing and may change, be interrupted, or — with notice — have test data reset. We do not charge for the Service during early access. Before paid plans start, a registered company will operate the Service, these terms will be updated, and you will be asked to accept them.
3. Your account
- You must be an adult able to enter a binding contract, and give accurate information.
- Keep your sign-in details safe and use two-step verification. You are responsible for what happens under your account and your staff's accounts.
- Tell us at support@shopait.com if you suspect someone else has used your account.
4. Your store and your content
- You keep all rights to your content (products, images, text, data). You give us the permission needed to host, copy, display and process it to run the Service for you.
- You are responsible for your store: the products you sell, their legality where you sell them, prices, taxes, delivery, returns, consumer rights, and your own terms and privacy notice for your customers.
- You are the controller of your customers' personal data; we process it for you under the Data Processing Addendum, which forms part of these terms.
- You must follow the Acceptable Use Policy.
5. Plans and fees
When paid plans start, the prices are those on the pricing page at the time, in the currency shown, plus any taxes. Plans renew automatically until you cancel; a free trial ends on its stated date. Third-party transaction fees, app charges and other usage (such as messages or shipping labels) appear on your invoice. An invoice not paid on time can lead to the store being paused after a grace period, until it is paid. Except where the law requires otherwise or we state it, fees already paid are not refunded.
6. Payments, apps and other third parties
Payments are processed by payment providers under their own terms; we are not a bank or a payment institution. Apps and themes from other developers are provided by them under their terms — check them before installing. We are not responsible for third-party services, but we may remove an app or theme that breaks our policies.
7. Our rights
The Service, its software, design and brand belong to the operator or its licensors. You may not copy, resell, or reverse engineer the Service, or use it to build a competing service, except as the law allows. If you send us ideas or feedback, we may use them without obligation.
8. Suspension and closing
- You can stop using the Service and close your store at any time. Use the admin's export features or the Admin API to keep your data first.
- We may suspend or close an account, a store or content that breaks these terms or the law, puts others at risk, or remains unpaid — with notice where possible, and a chance to fix the problem unless the risk is serious.
- Today a closed store's data is kept until you ask us to delete it (subject to records the law requires us to keep). We will set an automatic deletion period and state it here.
9. Disclaimers
We work to keep the Service available, secure and correct, but it is provided as is and as available, especially during early access. To the extent the law allows, we make no other promises — for example that the Service will be uninterrupted or error-free, or fit a particular purpose.
10. Limitation of liability
To the extent the law allows, the operator is not liable for indirect or consequential losses, lost profits, revenue or data, and its total liability for any claim is limited to the fees you paid for the Service in the 12 months before the claim (or USD 100 if you paid nothing). Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.
11. Your responsibility to us
If someone brings a claim against the operator because of your store, your products, your content or your breach of these terms or the law, you will cover the reasonable costs and losses that result, to the extent the law allows.
12. Changes
We may change the Service and these terms. We will post changes here with a new effective date and, for material changes, tell you by email or in the admin before they apply. If you do not agree, you can stop using the Service before then.
13. Governing law and disputes
These terms are governed by the laws of Vietnam. Please write to support@shopait.com first: most problems can be solved that way. A dispute that cannot be settled within 30 days goes to the competent courts of Vietnam. If you are a consumer, you keep the protections that the mandatory law of the country where you live gives you, and you may bring a claim there.
14. General
We may transfer these terms to the company that takes over operating Shopait, or to a buyer of the business. If a part of these terms cannot be enforced, the rest still applies. Not enforcing a right is not giving it up. These terms are available in English and Vietnamese; if they differ, the English version prevails unless the law where you live requires otherwise.
